These General terms of use set out the rules that apply when you visit the Native Teams website, create an account, or use any of our employment, payroll, payment and compliance services through the Native Teams Platform. Please read them carefully before you use the Platform. If you use the Platform on behalf of a company or other organisation, these Terms bind that organisation.

Many of our Services can be selected, purchased, activated and managed directly in the Platform without speaking to us, and many of the processes behind them are automated. These Terms have been written for that self-service model. Where you have signed a separate agreement with us, that agreement takes priority as described in the section headed "How these Terms relate to other documents".

PART 1: INTRODUCTION AND SCOPE

About these Terms

These General terms of use (the "Terms") govern your access to and use of the Native Teams website at nativeteams.com, the Native Teams web application at app.nativeteams.com, the Native Teams mobile applications for iOS and Android, and any application programming interface, integration, calculator or other tool that we make available (together, the "Platform"), as well as the services that we provide to you through the Platform (the "Services").

These Terms form a legally binding agreement between you and Native Teams. You accept these Terms when you create an Account, when you tick the acceptance box or select the acceptance button presented to you in the Platform, or when you otherwise access or use the Platform or the Services, whichever happens first. If you do not agree to these Terms, you must not use the Platform or the Services.

In these Terms, "Native Teams", "we", "us" and "our" mean Native Teams Limited, a company incorporated in England and Wales with company number 12584623, whose registered office is at Level 39, One Canada Square, London E14 5AB, United Kingdom. Where a Service is delivered in a particular country, it may be provided or invoiced by another company in the Native Teams group. The Platform will show you which company provides or invoices a Service where that is relevant, and each such company is entitled to rely on these Terms.

In these Terms, "you" and "your" mean the person or organisation that accepts these Terms. Where a person accepts these Terms on behalf of an organisation, "you" means that organisation, and the person accepting confirms that they have authority to bind it.

Who these Terms apply to

These Terms apply to everyone who uses the Platform. Some sections apply only to particular groups of users, and where that is the case the section says so. For the purposes of these Terms, users fall into the following groups.

  • A Visitor is anyone who browses our website, reads our knowledge base, country guides, blog or other public content, or uses our free tools and calculators without creating an Account.
  • A Business Client is a company, partnership or other organisation that uses the Platform to employ, engage, pay or manage people, or to use our payment and wallet services for business purposes. Each individual who uses the Platform on behalf of a Business Client is an Authorised User of that Business Client.
  • An Individual is a natural person who uses the Platform in their own name. This includes freelancers and independent professionals who use our plans for individuals, employees who are employed through Native Teams on behalf of a Business Client, and contractors and gig workers who are onboarded to or paid through the Platform.
  • A Partner is a person or organisation that participates in one of our referral, affiliate, reseller, white-label or technology partnership programmes.

How these Terms relate to other documents

These Terms are the general framework that applies to all use of the Platform. Individual Services are also governed by specific terms that describe how that Service works (the "Service Terms"). The Service Terms, together with our privacy notices and other policies, are published on the Native Teams Legal & Compliance Hub, and the Platform will present the relevant Service Terms to you before you activate a Service for the first time.

The prices, plan features, order summaries, cost breakdowns and confirmations that are displayed to you in the Platform when you select, purchase or activate a Service form part of your agreement with us for that Service.

If you and Native Teams have signed a separate written agreement that covers a Service, that signed agreement takes priority over these Terms and over the Service Terms to the extent of any inconsistency. These Terms continue to apply to your use of the Platform in every respect that the signed agreement does not address.

Subject to the previous clause, if there is any inconsistency between the documents that apply to you, the Service Terms prevail over these Terms in relation to the Service they describe. Our Data Processing Agreement prevails over all other documents in relation to the processing of personal data.

Definitions

In these Terms, the following words have the meanings given below. Other words are defined in the section in which they first appear.

"Account" means the account that you create on the Platform in order to use the Services, including any sub-accounts, workspaces or entity profiles linked to it.

"Add-On" means an optional feature or service that you can purchase in addition to a Plan, either within the Platform or on request.

"AI Features" means any functionality of the Platform, our website or our support channels that uses machine learning, large language models or similar technology, as further described in the section headed "Artificial intelligence features".

"Client Data" means all data, documents, instructions and other information that you or your Authorised Users submit to, upload to or generate within the Platform, including personal data relating to Workers.

"Data Processing Agreement" means our data processing agreement published on the Legal & Compliance Hub, which governs our processing of personal data on your behalf.

"Instruction" means any request, approval, confirmation or command that you submit through the Platform, including a request to hire an employee, a payroll approval, a payment or payout order, a currency conversion, an invoice, a card transaction or a request to terminate a Service.

"Legal & Compliance Hub" means the section of our website at which our legal terms, policies, certifications and compliance information are published, as updated from time to time.

"Plan" means a subscription plan for one or more Services, as described on our pricing page or in the Platform at the time you subscribe.

"Regulated Partner" means a bank, electronic money institution, payment institution, card issuer, foreign exchange provider or other regulated firm that provides part of a Service to you under its own authorisation and terms.

"Seat" means each individual who is employed, engaged or paid through a Service on behalf of a Business Client, and for whom a per-person fee applies under the relevant Plan.

"Wallet" means the multi-currency account functionality made available to you through the Platform, which allows you to hold, receive, convert, send and spend funds, as further described in the section headed "Work payment services".

"Worker" means any employee, contractor, consultant or gig worker who is employed, engaged, onboarded or paid through the Platform.

PART 2: ACCOUNTS, ONBOARDING AND VERIFICATION

Eligibility

You must be at least eighteen years old and have full legal capacity to enter into a binding contract in order to create an Account or use the Services.

Business Clients must be validly established and in good standing in their country of incorporation. Individuals must use the Platform for the purposes of their own work, employment or income, and not on behalf of another person unless they have been appointed as an Authorised User of a Business Client.

You may not use the Platform if you, or in the case of an organisation any of your owners, directors or controllers, are the subject of sanctions imposed by the United Nations, the United Kingdom, the European Union or the United States, or if you are located in, incorporated in or acting for the benefit of a country or region that is subject to comprehensive sanctions.

Some Services are available only in particular countries or to particular types of user. The Platform will show you which Services are available to you based on the information you provide, and the availability of a Service may change as local laws and the requirements of our Regulated Partners change.

Creating your Account

To create an Account, you must provide the information requested in the sign-up process. For Individuals, this will usually include your full legal name, date of birth, residential address, nationality, contact details and tax identification number. For Business Clients, it will usually include the organisation's legal name, registration number, registered address, business activity, ownership and control structure, and the details of the person creating the Account.

You must make sure that all information you provide is true, accurate, current and complete, and you must update it promptly in the Platform whenever it changes. You may hold only one Account for each individual or organisation unless we agree otherwise, and you must not create an Account in the name of another person or organisation without their authority.

Creating an Account does not by itself entitle you to use every Service. Each Service becomes available to you only when you have completed the relevant verification steps, accepted the applicable Service Terms, selected a Plan where one is required, and received confirmation in the Platform that the Service has been activated.

Verification and compliance checks

Before we activate an Account or a Service, and at any time while you use the Platform, we and our Regulated Partners are required to verify your identity and carry out checks relating to anti-money laundering, counter-terrorist financing, sanctions, fraud prevention and creditworthiness (together, "Compliance Checks"). Compliance Checks may also be carried out on your beneficial owners, directors, Authorised Users and, where relevant, on Workers.

Many Compliance Checks are performed automatically, using identity verification technology, document and liveness checks, database searches and screening tools provided by us or by specialist third-party providers. Where an automated check is inconclusive or indicates a potential concern, the case is reviewed by a member of our compliance team. We do not refuse or close an Account solely on the basis of an automated result without human review.

You agree to provide promptly any additional information or documents that we reasonably request in connection with Compliance Checks. If you do not provide them, or if we are unable to complete Compliance Checks to our satisfaction, we may decline to open your Account, delay or decline to activate a Service, place limits on your use of a Service, or suspend or close your Account. Where the law allows, we will tell you the reason.

If we decline to activate a Service after you have paid for it, we will refund the amount you paid for that Service, except for any amounts that we are required by law or by a Regulated Partner to retain.

Administrators, Authorised Users and permissions

Each Business Client must appoint at least one administrator for its Account. An administrator can invite Authorised Users, assign roles and permissions, approve Instructions, and manage the Business Client's Plans, Services and settings. Every Business Client receives one administrator account free of charge, and additional administrator or user seats may be subject to charges as described in the relevant Plan.

The Business Client is responsible for deciding who may access its Account and at what permission level, for making sure that its Authorised Users comply with these Terms, and for all Instructions submitted by its Authorised Users. The Business Client must remove access promptly when an Authorised User leaves the organisation or no longer needs access.

Workers who are invited to the Platform by a Business Client receive their own login and can see only the information that relates to them, together with any information that the Business Client chooses to share with them.

Account security

You are responsible for keeping your login credentials, devices and any authentication codes secure and confidential, and for using the security features that we make available, including multi-factor authentication. You must not share your credentials with anyone else.

If you become aware of, or suspect, any unauthorised access to your Account, any unauthorised Instruction, or the loss or theft of a payment card issued through the Platform, you must notify us immediately through the Platform or by contacting our support team, and you must change your credentials without delay. For lost or stolen cards, you must also freeze the card in the Platform where that option is available.

Once you have notified us, we will take prompt action to block access to your Account or card. You will not be responsible for unauthorised Instructions submitted after you have notified us, provided that you have not acted fraudulently or with gross negligence. Your rights in relation to unauthorised payment transactions are also described in the terms of the relevant Regulated Partner.

We may temporarily suspend access to your Account, require you to reset your credentials, or ask you to confirm an Instruction through an additional step if we reasonably believe that your Account or an Instruction may have been compromised.

PART 3: THE SERVICES

Overview of the Services

Native Teams provides a single platform through which companies can hire and pay people anywhere, and through which individuals can be employed, work and get paid across borders. The Services fall into two main groups: employment services, which cover the legal, contractual and administrative side of employing people, and work payment services, which cover the movement, holding and management of money.

The employment services include Employer of Record, Entity management, HR, Payroll and Benefits, Employment Contracts, Relocation and Visa, and Absence Management. The work payment services include Global Payroll, Gig Payments, Contractor Payments, the Multi-Currency Wallet, Deposit Rewards and Expenses Management. We may also offer Contractor of Record services, payment cards, invoicing tools and other features that are described on our website or in the Platform.

The description of each Service on our website and in the Platform is intended to help you understand what the Service does. The scope of each Service is set out in the relevant Service Terms and in the Plan or order summary that you accept in the Platform.

Employment services

Employer of Record. Where you use our Employer of Record service, a member of the Native Teams group, or where the Platform indicates this for a particular country a local partner engaged by us, becomes the legal employer of the individual you select, in the country where that individual works. You submit the proposed role, start date, salary and other terms through the Platform, and the Platform shows you the estimated monthly employment cost, the applicable fees and any deposit before you confirm. The legal employer then issues a localised employment contract that complies with local law, runs payroll, withholds and pays taxes and social contributions, and administers statutory benefits. You direct the employee's day-to-day work and remain responsible for the matters described in the Employer of Record Terms.

We may decline a request to employ an individual, or ask you to change the proposed terms, where the request does not comply with local law, where the individual does not have the right to work in the relevant country, or where the Compliance Checks for you or the individual are not completed. Employment in any country is always subject to the mandatory employment laws of that country, and those laws prevail over anything in these Terms.

Entity management. Where you prefer to operate through your own legal entity, our Entity management service supports the incorporation of that entity and its ongoing corporate, payroll, tax and compliance administration, using the Platform together with our local teams and partners. You remain the owner of the entity, and you and the entity remain responsible for its legal obligations as an employer and as a company. We act on the information and approvals that you provide.

HR, Payroll and Benefits. The Platform includes tools for managing employee records, documents, onboarding and offboarding workflows, payslips and benefits in one place. Where you access country-specific benefits packages through the Platform, the benefits themselves are provided by insurers or other benefit providers under their own terms, and the Platform shows you the cost and main features of each package before you select it.

Employment Contracts. The Platform allows you to generate localised employment and contractor agreements by completing a guided form, and to execute them using the integrated electronic signature functionality. Where we act as the employer of record, we are responsible for the content of the employment contract. Where you generate a contract for your own use, the template reflects our understanding of local requirements at the time it is generated, but you are responsible for checking that the completed contract is suitable for your particular circumstances.

Relocation and Visa. Our relocation and visa service supports work-eligibility checks, applications for visas, work permits and residence permits, and related relocation assistance for employees and, where applicable, their family members. The outcome of any application is decided by the relevant government authorities, and we cannot guarantee that an application will succeed or be decided within a particular time. The Global Mobility & Right-to-Work Terms set out the scope, fees, payment terms and cancellation rules for this service.

Absence Management. The Platform allows employees to request time off and allows authorised approvers to review and approve those requests, with balances calculated according to the applicable statutory entitlements, the employment contract and your company policy. Approvers are responsible for the decisions they make, and the balances shown in the Platform depend on the accuracy of the information entered into it.

Work payment services

Global Payroll. Where you keep the employment relationship with your employees and use our Global Payroll service, we calculate gross-to-net pay, statutory deductions and employer contributions based on the payroll data and approvals that you submit, prepare payslips and payroll reports, and, where included in your Plan, process salary payments and statutory remittances. You remain the employer and are responsible for the accuracy of the payroll data and for meeting your obligations as employer.

Contractor Payments. Our Contractor Payments service allows you to onboard independent contractors, generate and sign contractor agreements, receive and approve invoices, and pay contractors in their local currency. Unless you use our Contractor of Record service, the contract for services is between you and the contractor, you decide the terms of the engagement, and you are responsible for confirming that the work has been delivered before approving payment. Native Teams is not a party to that contract.

Contractor of Record. Where we offer Contractor of Record services, we engage the contractor directly, manage the contractor agreement, classification review, invoicing and payment, and provide the contractor's services to you. The Contractor of Record Terms describe the allocation of responsibilities in more detail.

Gig Payments. Our Gig Payments service is designed for platforms and businesses that make high-volume or on-demand payouts to gig workers, and supports bulk uploads, scheduled payouts and integration through our API. You are responsible for the lawful engagement and classification of the gig workers you pay, and for complying with any laws that apply to platform work in the countries in which you operate. The Gig & On-Demand Payout Terms apply to this service.

Multi-Currency Wallet. The Wallet allows you to hold balances in multiple currencies, receive funds, including through dedicated account details such as a Euro IBAN where available, convert between currencies, send payments, withdraw funds to a bank account, and spend using physical or virtual Native Teams cards. The accounts, payment services and cards that make up the Wallet are provided by Regulated Partners, and your funds are held and safeguarded by those partners in accordance with their own terms and the regulations that apply to them. Native Teams is not a bank, and unless the terms of the relevant Regulated Partner expressly say otherwise, Wallet balances are not bank deposits and are not covered by a deposit guarantee scheme.

Deposit Rewards and Balance Rewards. Where you are eligible, you may earn rewards on eligible balances held in your Wallet. The eligibility criteria, the way rewards are calculated, and the conditions under which rewards are paid, changed or withdrawn are set out in the Balance & Rewards Policy and shown in the Platform. Rewards are not interest on a deposit, and past reward rates do not guarantee future rates.

Expenses Management. The Platform allows employees and contractors to submit expenses with receipts, allows approvers to validate and approve them, and allows approved expenses to be reimbursed through payroll or the Wallet. You are responsible for your expense policy, for the approvals you give, and for the tax treatment of reimbursed expenses in accordance with local law.

Invoicing and payment requests. Where your Plan includes invoicing tools, you may create invoices, including with your own logo, and send payment requests to your clients through the Platform. You are responsible for the content and accuracy of your invoices and for the tax treatment of your income.

Automated processes and your Instructions

The Platform acts on the Instructions that you and your Authorised Users submit. Before you confirm an Instruction that involves a payment, a currency conversion, a new hire, a payroll run or a termination, the Platform will show you a summary of what will happen, including the amounts, currencies, exchange rates, fees and timings that apply. You must review that summary carefully. When you confirm the Instruction, you authorise us, and where relevant our Regulated Partners, to carry it out as shown.

Many Services rely on cut-off times and deadlines, for example the monthly date by which payroll inputs must be submitted, or the time of day by which a payment must be approved to be sent on the same business day. The applicable cut-off times are displayed in the Platform. Instructions received after a cut-off time will be processed in the next available cycle, unless you choose an expedited option for which an additional fee may apply.

Once a payment has been sent to the recipient's bank or payment provider, it usually cannot be cancelled or reversed. You are responsible for making sure that the recipient details you enter are correct. If you send a payment to the wrong recipient because of an error in the details you entered, we will take reasonable steps to help you recover the funds, but we cannot guarantee that recovery will be possible.

The Platform calculates salaries, taxes, contributions, fees, currency conversions and similar amounts automatically, using the data you submit and the calculation rules that we maintain for each country. We keep those rules under regular review and update them when the law changes. If an amount is calculated incorrectly because of an error in our calculation rules or systems, we will correct it at our own cost. If an amount is calculated incorrectly because the data you submitted was incomplete, inaccurate or late, you will be responsible for the cost of any correction, including any additional fees shown in the Platform.

Cost estimates produced by our hiring cost calculator, payroll calculator, currency calculator and similar tools are indicative only. They are based on the information you enter and on the rules and rates that apply when the estimate is generated. The amount that you pay will be the amount shown in the order summary or invoice at the time you confirm the relevant Instruction, and it may change later where the underlying costs change, as described in the section headed "Fees and payment".

We may automatically hold, delay or decline an Instruction where our systems detect unusual activity, where Compliance Checks are outstanding, where there are insufficient funds, or where carrying out the Instruction would breach the law, these Terms or the requirements of a Regulated Partner. Where the law allows, we will notify you through the Platform and tell you what you can do to resolve the issue.

Information, guides and tools

We publish a knowledge base, country guides, a glossary, reports, articles, templates and free tools and calculators to help you understand international employment and payments. This content is general information. It is not legal, tax, financial or immigration advice, and it does not take your particular circumstances into account.

We work hard to keep our content accurate and up to date, but laws and practices change frequently and we cannot guarantee that every item of content is complete or current at the time you read it. You should not rely on this content as a substitute for professional advice on a specific matter. Advice tailored to your circumstances is available as an Add-On, and the scope and price of that Add-On are shown in the Platform or provided on request.

Artificial intelligence features

We use AI Features in limited and disclosed ways to make the Platform faster and easier to use. Examples include helping our support team draft responses, helping you search documents and our published policies, extracting information from documents you upload, and answering questions through the assistant on our Legal & Compliance Hub. Our Responsible AI Policy describes where AI is and is not used across the Platform and our support channels.

We do not use AI Features to make decisions that produce legal effects or similarly significant effects for any person without meaningful human review. This includes decisions to accept or refuse an Account, to employ, discipline or dismiss a Worker, and decisions about a person's pay or benefits entitlements.

Where you interact directly with an AI system, such as a chat assistant, we will make clear that you are interacting with AI, unless that is obvious from the context. Where the law requires, we will label content that has been generated by AI.

AI Features can produce output that is incomplete or inaccurate. AI output is provided to support your work and your decisions, and you are responsible for reviewing it before you rely on it, particularly in relation to employment, tax, immigration or legal matters. Answers given by the assistant on the Legal & Compliance Hub are generated from our published documents, are provided for information only, and do not constitute legal advice or a binding statement of our position.

Personal data processed by AI Features is handled in accordance with our Privacy Policy and the Data Processing Agreement. We do not allow third-party AI providers to use Client Data to train their general-purpose models. Where an AI Feature is optional, administrators can switch it off in the Platform settings.

You must not use AI Features to make unlawful or discriminatory decisions about any person, to generate content that is unlawful or that infringes the rights of others, or to attempt to extract, reproduce or circumvent the models or safeguards on which the AI Features are built. If you connect your own AI tool or a third-party AI tool to the Platform, for example through our API, you are responsible for that tool, for the credentials and permissions you give it, and for the Instructions it submits.

Mobile applications and API

Our mobile applications are available from the Apple App Store and Google Play. Your use of a mobile application is governed by these Terms, and also by the terms of the app store from which you downloaded it, which apply only to the relationship between you and the app store operator. You are responsible for keeping the application and your device operating system up to date so that you receive security updates and notices correctly.

Where we give you access to our API, you must use it in accordance with our developer documentation, keep your API keys secure, respect any rate limits, and restrict access to the minimum permissions reasonably necessary. Instructions submitted through the API are treated in the same way as Instructions submitted through the Platform interface. We may suspend API access that threatens the security or stability of the Platform.

Where we offer a white-label version of the Platform, the Business Client or Partner that offers the white-label version to its own users remains responsible for the relationship with those users, and the white-label arrangement is governed by a separate agreement.

Regulated Partners and third-party services

Some parts of the Services are provided by Regulated Partners and other third parties, including payment account and card providers, foreign exchange providers, identity verification providers, electronic signature providers, insurers and benefit providers, immigration advisers and local employment partners. Where a Regulated Partner provides a regulated service to you, it does so under its own authorisation and its own terms, which will be presented to you in the Platform. You agree to those terms where acceptance is required in order to use the relevant Service.

We select our Regulated Partners and other service providers carefully and monitor their performance. We remain responsible to you for the parts of the Services that we have agreed to provide, including where we use a subcontractor to provide them. We are not responsible for third-party products or services that you choose to connect to the Platform or use independently, such as your own accounting, HR or banking software.

The Platform and our website may contain links to third-party websites. Those links are provided for your convenience only. We do not control those websites and are not responsible for their content or practices.

Availability, support and changes to the Platform

We aim to make the Platform available at all times, but availability may be interrupted by scheduled maintenance, urgent security updates, the unavailability of Regulated Partners or banking systems, and events outside our reasonable control. We will try to schedule maintenance at times that minimise disruption and to give advance notice of planned maintenance in the Platform.

Customer support is available through the Help Centre at help.nativeteams.com, through in-app chat and by email, during the support hours published in the Help Centre. Some Plans include a dedicated account manager or priority support, as described in the Plan.

We continually develop the Platform and may add, change or remove features. We will not make a change that materially reduces the core functionality of a paid Service during a billing period for which you have already paid. If we decide to discontinue a paid Service, we will give you at least thirty days' notice where practicable and refund any fees you have prepaid for the period after the Service ends.

PART 4: PLANS, FEES AND PAYMENT

Plans and subscriptions

You can subscribe to a Plan in the Platform. Our pricing page and the Platform describe each Plan, the features it includes, the price, the billing frequency and any usage limits. Plans may be priced per Seat, per Account, by reference to the volume of funds processed or held, or on another basis explained in the Plan description. Where a Plan is available on monthly or annual billing, the annual option may be offered at a discount.

Where the price of your Plan depends on usage, such as the number of Seats or the volume of funds in your Wallet, the Platform will show you the tiers that apply. If your usage in a billing period exceeds the limits of your current tier, you will be moved to the tier that matches your usage and charged accordingly, and we will tell you when this happens. Where your usage falls, you may move to a lower tier from the start of the next billing period in the way described in the Plan.

You may upgrade your Plan at any time in the Platform, and the upgrade takes effect immediately. The price for the remainder of the current billing period will be adjusted on a pro rata basis unless the Platform states otherwise. You may downgrade your Plan in the Platform, and the downgrade takes effect from the start of the next billing period.

You may purchase Add-Ons in the Platform or on request. The price of each Add-On, and whether it is charged once, per use or on a recurring basis, is shown before you confirm the purchase.

Fees and payment

You agree to pay the fees for the Plans, Seats, Add-Ons and Services that you select, as shown in the Platform or on our pricing page at the time you confirm your purchase. For employment services, the amounts you pay also include the costs of employment, such as gross salaries, employer taxes, social contributions, statutory benefits and other amounts required by local law, which are shown in the cost breakdown in the Platform and on your invoices.

Statutory employment costs are set by law and may change during the course of an engagement, for example when tax rates, social contribution rates, minimum wages or mandatory benefits change. Where such a change occurs, the change will be reflected in your invoices from the date it takes effect, and we will show the updated amounts in the Platform.

You may pay using the payment methods available in the Platform, which may include your Wallet balance, a debit or credit card, direct debit or bank transfer. By adding a payment method or funding your Wallet, you authorise us to collect the amounts due under these Terms automatically on or after the due date, including recurring Plan fees and, for employment services, the monthly amounts shown on your invoices. Some Services, such as Employer of Record and Global Mobility, may require payment in advance or a refundable deposit before the Service starts, and the Platform will tell you if this applies.

Unless the Platform states a different due date, invoices are payable within seven days of the invoice date. If a payment fails or is not received by the due date, we will notify you and try to collect it again. If an amount remains unpaid, we may charge interest and a late payment fee as described in the Platform and the relevant Service Terms, and we may suspend the affected Services as described in the section headed "Suspension".

If you believe that an invoice is incorrect, you should tell us through the Platform within thirty days of the invoice date, explaining why. You must pay any part of the invoice that is not disputed by the due date. We will investigate and, if we agree that the invoice is incorrect, issue a correction.

Fees for work outside the standard scope of a Service, including off-cycle payroll runs, late payroll inputs, termination processing, custom reports and tailored advice, are set out in our Additional Services and Fees Policy, published on the Legal & Compliance Hub, or may be agreed separately. In either case, the applicable fees form part of these Terms.

Taxes and currency

All prices are shown exclusive of value added tax and similar taxes unless the Platform states otherwise. Where such taxes apply, they will be added to your invoice. If you are required by law to withhold or deduct tax from a payment to us, you must tell us in advance and pay such additional amount as is necessary for us to receive the full amount that would have been due without the withholding or deduction.

Where a payment or conversion involves more than one currency, the exchange rate and any conversion fee will be shown to you before you confirm the Instruction. Where an amount is converted at a later time, for example when a recurring payroll is funded, the rate applied will be the rate applicable at the time of conversion, and you bear the effect of any exchange rate movements.

Individuals are responsible for their own income tax and social security obligations, except where Native Teams or another employer is required by law to withhold and pay those amounts on their behalf.

Renewal, cancellation and refunds

Plans renew automatically at the end of each billing period for a further period of the same length, unless you cancel before the renewal date. We will remind you of upcoming renewals of annual Plans before they take place. You can cancel a Plan at any time in the Platform, and the cancellation takes effect at the end of the current billing period. You will continue to have access to the Plan until then.

Some Services have a minimum term or notice period, which will be shown in the Platform before you activate the Service. In particular, an employment engagement can only be ended in accordance with the employment contract and local law, and the costs of the statutory or contractual notice period, and of any termination payments required by law, remain payable. You can request the termination of an employment engagement through the Platform or via our customer support channels, and we will confirm the applicable notice period and costs before the termination proceeds.

Fees for a billing period that has already started are not refundable, and we do not give credits for partial periods, unless these Terms, the Service Terms or the law provide otherwise. Individuals who are consumers have the additional rights described in the section headed "Additional terms for Individuals".

Price changes

We may change the prices of our Plans and Add-Ons. We will notify you by email or in the Platform at least thirty days before a price increase takes effect for your existing Plan. The new price will apply from the start of your first billing period that begins after the notice period ends. If you do not agree to the new price, you may cancel your Plan before it takes effect.

This section does not apply to changes in statutory employment costs, taxes, third-party pass-through costs or exchange rates, which are reflected in your invoices when they occur as described in the section headed "Fees and payment".

Promotions, trials and free accounts

We may offer free accounts, free trials, introductory prices, discount codes and other promotions. The terms of each promotion, including its duration and any eligibility conditions, will be shown when the promotion is offered. Unless you cancel before the end of a free trial, your Plan will continue at the standard price, and we will tell you before the first payment is taken.

We may change or withdraw a promotion that has not yet been taken up at any time. Where you have already taken up a promotion, we will honour it for the period stated, unless you breach these Terms or the promotion is being misused.

Referral and affiliate programmes

Where we operate a referral or affiliate programme, you may receive a reward or commission for referring new customers to Native Teams, in accordance with the programme rules published in the Platform, or the Partner Terms, or as agreed separately. You must promote Native Teams honestly and lawfully, you must clearly disclose your relationship with us where the law requires, and you must not make any statement about our Services that is inaccurate or misleading.

PART 5: USING THE PLATFORM

Acceptable use

You must use the Platform and the Services only for lawful purposes and in accordance with these Terms. In particular, you must not, and must not allow anyone else to, do any of the following.

  • Use the Platform in breach of any applicable law or regulation, including laws relating to employment, tax, immigration, anti-money laundering, sanctions, anti-bribery, consumer protection and data protection.
  • Use the Services to receive or make payments connected with illegal, fraudulent or prohibited activity, including the sale of counterfeit, stolen or illegal goods, illegal drugs, weapons or hazardous materials, or any activity that infringes the intellectual property rights of others.
  • Misrepresent the nature of a working relationship, for example by using contractor or gig services to engage a person who should lawfully be treated as an employee, or provide false information about a Worker's role, location, pay or right to work.
  • Submit false or misleading information, use a false identity, or open an Account for or on behalf of another person without authority.
  • Introduce malware, attempt to gain unauthorised access to the Platform or to other users' accounts, interfere with the operation or security of the Platform, or carry out penetration testing, other than legitimate security research reported under our Vulnerability Disclosure Policy.
  • Copy, scrape, frame, decompile or reverse engineer the Platform, except to the extent that the law expressly permits this, or use the Platform, its content or its output to build a competing product or to train or benchmark machine learning models.
  • Resell, sublicense or otherwise make the Platform available to third parties, except as permitted by a Plan or a Partner agreement.
  • Use the Platform to harass, abuse, discriminate against or unlawfully monitor any person.

We may investigate any suspected breach of this section. Depending on the seriousness of the matter, we may remove content, decline or reverse Instructions where possible, suspend or close your Account, and report the matter to the relevant authorities where we are required or permitted to do so.

Your content and data

You retain all rights in your Client Data. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit and display Client Data only to the extent necessary to provide, secure, maintain and support the Services, to comply with our legal obligations, and to enforce these Terms.

We may create aggregated and de-identified data from the use of the Platform, from which no individual, Business Client or Worker can be identified, and use that data to operate, secure and improve the Platform and to produce statistics, benchmarks and reports. We will not use Client Data to market our Services to your Workers or your customers.

You are responsible for the accuracy, completeness and legality of the Client Data that you submit, and for making sure that you have given all notices, obtained all permissions and have all rights necessary to share it with us, including personal data relating to Workers and, where relevant, their family members.

You can export your Client Data from the Platform while your Account is active and for thirty days after it is closed. After that period, we will delete or anonymise Client Data, except for records that we are required to keep by law, such as payroll, tax, employment and anti-money laundering records, and records that we need in order to establish, exercise or defend legal claims. Our retention periods are described in our Privacy Policy.

Intellectual property

The Platform, including its software, design, databases, content, templates, country guides, calculators and documentation, and the Native Teams name, logos and trademarks, are owned by Native Teams or our licensors and are protected by intellectual property laws. Except for the rights expressly granted in these Terms, no rights in them are transferred to you.

Subject to your compliance with these Terms and payment of the applicable fees, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Platform during the term of your Plan. Business Clients may use the Platform only for their internal business purposes. Individuals may use it for the purposes of their own work and income. You may download and print materials from our website for your own reference, provided that you do not remove any copyright or other proprietary notices.

The ownership of work created by Workers for a Business Client is dealt with in the relevant Service Terms, in the Worker's employment contract or contractor agreement, and in any signed agreement between the Business Client and Native Teams.

If you send us feedback, suggestions or ideas about the Platform, we may use them freely and without any obligation to you.

Confidentiality

Each party must keep confidential all non-public information about the other party's business, technology, finances, customers and Workers that it receives in connection with these Terms, and must use that information only for the purposes of providing or receiving the Services. Each party may disclose such information only to its employees, advisers, subcontractors and Regulated Partners who need to know it and who are bound by equivalent obligations of confidentiality, or where disclosure is required by law, by a regulator or by a court.

These obligations do not apply to information that is or becomes public other than through a breach of these Terms, that the receiving party already lawfully held, that it lawfully receives from a third party without restriction, or that it develops independently. These obligations continue for two years after the end of your use of the Services, and for as long as the information remains a trade secret or personal data.

PART 6: DATA PROTECTION AND SECURITY

Data protection

We process personal data in accordance with applicable data protection laws, including the UK General Data Protection Regulation and the EU General Data Protection Regulation where they apply. Our Privacy Policy explains how we process personal data about visitors, users and Business Client contacts, and our Individual Privacy Notice explains how we process personal data about people who are employed, engaged or paid through the Platform.

Where we process personal data on behalf of a Business Client, we do so as a processor under the Data Processing Agreement, which forms part of these Terms. In some Services, such as Employer of Record, we act as the legal employer and therefore process certain personal data as a controller in our own right. The Data Processing Agreement and the relevant Service Terms explain these roles.

Individuals can exercise their data protection rights, including the rights of access, correction and deletion, through the Platform settings or by contacting our data protection team. Our guide to data rights on the Legal & Compliance Hub explains how to do this.

Security

We maintain appropriate technical and organisational measures to protect the Platform and Client Data, including encryption of data in transit and at rest, role-based access controls, logging and monitoring, and a documented incident response process. Our current security measures, certifications and their status are described on the Legal & Compliance Hub.

If we become aware of a personal data breach affecting Client Data, we will notify the affected Business Clients and Individuals without undue delay and in accordance with the law and the Data Processing Agreement.

If you believe you have found a security vulnerability in the Platform, please report it to us in accordance with our Vulnerability Disclosure Policy at security@nteams.com, and do not access, modify or disclose any data beyond what is necessary to demonstrate the issue.

PART 7: RESPONSIBILITIES AND LIABILITY

Your responsibilities

You are responsible for the accuracy and timeliness of the information and Instructions you submit, for the decisions you make about the people you employ, engage or pay through the Platform, and for your own compliance with the laws that apply to your business or to your work.

Business Clients are responsible for the lawful selection and treatment of their Workers, for the working environment and day-to-day direction of their Workers, for the correct classification of contractors and gig workers unless we have expressly taken on that responsibility under a Service, and for approving payroll, invoices and payments only when they are correct and due.

Our commitments

We will provide the Services with reasonable care and skill, in accordance with these Terms, the relevant Service Terms and the laws that apply to us. We will keep our country rules, calculations, templates and processes under regular review so that they reflect changes in the law.

We will be transparent about what we do and what we charge. Before you confirm any purchase or payment Instruction, the Platform will show you the fees that apply, and our invoices will itemise the fees and costs that you are charged.

Disclaimers

Except as expressly set out in these Terms or the Service Terms, and to the fullest extent permitted by law, the Platform and the information made available through it are provided on an "as is" and "as available" basis, and we exclude all other warranties, conditions and terms, whether express or implied, including any implied terms as to satisfactory quality or fitness for a particular purpose. We do not guarantee that the Platform will be uninterrupted or free from errors.

We do not guarantee any particular outcome from a decision made by a government authority, a court, a bank or another third party, including the outcome of any visa, permit, tax or registration application.

Nothing in this section affects any rights that cannot be excluded or limited by law, including the statutory rights of consumers.

Limitation of liability

Nothing in these Terms limits or excludes any liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law. Nothing in these Terms limits your obligation to pay the fees and employment costs that are due under these Terms and the Service Terms.

Subject to the previous clause, where you use the Platform as a Business Client or a Partner, neither party will be liable to the other for any loss of profits, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss, however it arises.

Subject to the first clause of this section, where you use the Platform as a Business Client or a Partner, our total aggregate liability to you arising out of or in connection with these Terms and the Services, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the total fees you paid to us in the twelve months before the event giving rise to the claim. Amounts that we hold for you, or that we are obliged to pass to Workers or authorities on your behalf, do not count as fees for this purpose, and our obligation to account for those amounts is not limited by this clause.

Where you use the Platform as an Individual acting as a consumer, we are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill. Loss or damage is foreseeable if it is obvious that it will happen or if, at the time you accepted these Terms, both we and you knew it might happen. We are not responsible for business losses.

Indemnity

If you are a Business Client or a Partner, you agree to compensate us for any claims, fines, penalties, losses and reasonable costs, including legal fees, that we incur as a result of your breach of these Terms or of the law, the Client Data you submit, or the instructions you give and the decisions you make in relation to your Workers.

We will compensate Business Clients for any claim brought by a third party that the Platform, used in accordance with these Terms, infringes that third party's intellectual property rights. If such a claim is made or is likely, we may obtain the right for you to continue using the Platform, modify it so that it no longer infringes, or, if neither option is reasonably available, end the affected Service and refund any fees you have prepaid for it.

The party seeking compensation under this section must notify the other party promptly of the claim, allow the other party to control its defence and settlement, and provide reasonable cooperation.

PART 8: SUSPENSION AND TERMINATION

Suspension

We may suspend or restrict your access to all or part of the Platform or the Services if an amount that is not disputed remains unpaid seven days after we have notified you that it is overdue, if we reasonably believe that you have materially breached these Terms, if Compliance Checks remain outstanding or cannot be completed, or if suspension is required by law, by a regulator or by a Regulated Partner, or is reasonably necessary to protect the security of the Platform, other users or Workers.

Where it is lawful and practical to do so, we will notify you before suspending your access, explain the reason, and give you an opportunity to resolve the issue. We will restore your access promptly once the reason for the suspension no longer applies.

Suspension does not affect your obligation to pay amounts that are due. We will continue to meet the statutory obligations we owe to Workers that we employ or engage, such as paying wages that have already been earned, even while a Business Client's access is suspended.

Termination by you

You may stop using the Platform and close your Account at any time through the Platform settings or by contacting our support team. Before you close your Account, you must cancel your Plans, end any active Services in accordance with their notice periods, withdraw or transfer any Wallet balance, and pay any amounts that are due.

Closing your Account ends these Terms, but any Service that is still running because a notice period has not yet expired will continue to be governed by these Terms until it ends.

Termination by us

We may end these Terms or any Service for any reason by giving you at least thirty days' notice. Where we do so, we will refund any fees you have prepaid for the period after termination.

We may end these Terms or any Service with immediate effect by notice to you if you commit a material breach of these Terms that cannot be remedied, or that you fail to remedy within fifteen days of being asked to do so; if you become insolvent or enter into any insolvency or similar procedure; if Compliance Checks cannot be completed to our satisfaction; or if continuing to provide the Services would breach the law or sanctions, or would expose us, our Regulated Partners or Workers to material legal, regulatory or reputational harm.

Where a Service involves the employment or engagement of Workers, we will end that Service in accordance with the law that applies to the Workers, including statutory notice and consultation requirements, and the related costs remain payable as described in the section headed "Renewal, cancellation and refunds".

Consequences of termination

When these Terms end, your right to use the Platform ends, all amounts you owe to us become payable, and any refundable deposit will be returned in accordance with the relevant Service Terms after all amounts due have been settled.

We will return any Wallet balance to you by transfer to a bank account in your name, after deducting any amounts you owe to us, unless we are prevented from doing so by law or by the instructions of a competent authority. Your Client Data will be handled as described in the section headed "Your content and data".

The sections of these Terms that by their nature are intended to continue after termination will continue to apply, including those relating to fees, confidentiality, intellectual property, data protection, liability, indemnity and disputes.

PART 9: INDIVIDUALS

Additional terms for Individuals

This section applies to Individuals in addition to the rest of these Terms, and it prevails if there is any inconsistency. Individuals who use one of our plans for individuals are also subject to the Terms of Service for Individuals.

If you are a consumer, you may cancel a paid Plan within fourteen days of the day on which you subscribed without giving any reason, and receive a refund. If you asked us to start providing the Services during that fourteen-day period, we may deduct an amount that is proportionate to the Services provided up to the time you told us you wanted to cancel. You can cancel in the Platform or by contacting our support team.

Before a Plan renews, we will send you a reminder that tells you the date of renewal, the price and how to cancel. You can cancel a Plan online as easily as you subscribed to it. Where the law gives you further rights in relation to renewals, including a right to cancel after renewal, you may exercise those rights and we will refund you in accordance with the law.

If you are employed through Native Teams, your employment contract and the employment laws of the country in which you work govern your employment relationship. These Terms govern only your use of the Platform, and nothing in these Terms reduces any right you have under your employment contract or under the law.

Funds in your Wallet belong to you, subject to the terms of the relevant Regulated Partner and to any amounts that must be withheld by law. You can withdraw your available balance to a bank account in your name at any time, subject to the limits, fees and processing times shown in the Platform.

Nothing in these Terms affects your statutory rights as a consumer. If you live outside the United Kingdom, you also keep the protection of the mandatory consumer laws of the country in which you live.

PART 10: GENERAL TERMS

Changes to these Terms

We may update these Terms from time to time to reflect changes to our Services, to the law or to our business. The date at the top of these Terms shows when they were last updated, and previous versions are available on the Legal & Compliance Hub.

If we make a change that materially affects your rights or obligations, we will notify you by email or in the Platform at least thirty days before the change takes effect. We may give shorter notice where a change is required by law or by a regulator, or where it is necessary to address a security risk. If you do not agree to a material change, you may close your Account before the change takes effect. If you continue to use the Platform after the change takes effect, you will be treated as having accepted it.

Notices and electronic communications

You agree that we may provide agreements, notices, invoices, statements and other communications to you electronically, by email to the address associated with your Account, through notifications in the Platform or the mobile application, or by text message. Electronic communications have the same legal effect as communications on paper. A notice sent by email or through the Platform is treated as received one business day after it is sent.

Service notices, such as notices about changes to these Terms, fees, security or your Account, are not marketing messages, and you cannot opt out of receiving them while you have an Account. You can manage your marketing preferences in the Platform settings at any time.

Formal legal notices to Native Teams must be sent by email to legal@nteams.com, with a copy by post to our registered office.

Documents that you sign electronically through the Platform are legally binding to the same extent as documents signed by hand, to the extent permitted by applicable law. Some documents and jurisdictions require a particular form of signature, and the Platform will tell you where this applies to a document we prepare.

Complaints and dispute resolution

If you are unhappy with any aspect of the Platform or the Services, please contact our support team first, as most issues can be resolved quickly in this way. If your issue is not resolved, you can make a formal complaint by email to legal@nteams.com. We will acknowledge your complaint within five business days and aim to give you a full response within thirty days.

If you are a Business Client or a Partner and a dispute is not resolved through the complaints process within thirty days, each party will ask a senior representative to meet the other, in person or by video call, and try in good faith to resolve it. Either party may then propose mediation. This does not prevent either party from seeking urgent relief from a court or from pursuing the recovery of undisputed amounts that are due.

Complaints about a service provided by a Regulated Partner may also be made to that Regulated Partner under its own complaints procedure, and you may have the right to refer a complaint about a regulated payment service to the relevant financial ombudsman.

Governing law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, including non-contractual disputes or claims, are governed by the laws of England and Wales.

The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim. If you are an Individual acting as a consumer, you may also bring proceedings in the courts of the country in which you live, and you keep the protection of any mandatory laws of that country.

Employment relationships between Native Teams and its employees, and any local services provided under Service Terms that are governed by local law, are subject to the law and jurisdiction set out in the relevant employment contract or Service Terms.

Responsible business

We expect everyone who uses the Platform to comply with applicable laws on anti-bribery, anti-corruption, modern slavery, human trafficking, sanctions and export controls. Our own commitments are set out in our Code of Conduct, our Anti-Bribery and Anti-Corruption Policy and our Modern Slavery and Human Trafficking Statement, all of which are published on the Legal & Compliance Hub.

Anyone may raise a concern about wrongdoing connected with Native Teams, including anonymously, under our Whistleblowing Policy. We do not tolerate retaliation against anyone who raises a concern in good faith.

We are committed to making the Platform accessible. Our Accessibility Statement explains the standard to which our website and Platform are built and how to report a barrier. These Terms are available in alternative formats on request.

Events outside our control

Neither party will be responsible for any delay or failure to perform its obligations under these Terms that is caused by an event outside its reasonable control, such as natural disasters, pandemics, war, terrorism, civil unrest, strikes, government action, the failure of banking or payment systems, or major internet or power outages. The affected party must notify the other party promptly and take reasonable steps to minimise the effect of the event. This section does not relieve either party of an obligation to pay money that is due, and it does not relieve Native Teams of statutory obligations owed to its employees.

Assignment and subcontracting

You may not transfer your rights or obligations under these Terms to anyone else without our prior written consent, which we will not unreasonably withhold.

We may subcontract parts of the Services to members of the Native Teams group, Regulated Partners and other carefully selected providers, and we remain responsible for the performance of our obligations. We may transfer our rights and obligations under these Terms to another member of the Native Teams group, or to a successor in connection with a merger, acquisition or sale of assets, provided that your rights under these Terms are not reduced as a result. We will tell you if this happens.

Other important terms

The relationship between you and Native Teams is that of independent contracting parties. Nothing in these Terms creates a partnership, joint venture or agency relationship between us.

If a court or other competent authority decides that any provision of these Terms is invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions will continue in full force.

If we do not enforce a right under these Terms, or delay in doing so, that does not mean that we have waived that right.

No person other than you and Native Teams, and members of the Native Teams group, has any right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.

These Terms, together with the documents referred to in them, constitute the entire agreement between you and Native Teams in relation to their subject matter. We may provide translations of these Terms for convenience. If there is any inconsistency between the English version and a translation, the English version prevails to the extent permitted by law.
