Native Teams Limited, a company incorporated and registered in England and Wales, together with its affiliates and subsidiaries (collectively referred to as Native Teams, we, us, or the company), provides a digital platform and related administrative support services (the platform).
The platform enables individual users (user or you) to manage employment-related calculations, income administration, tax documentation, and compliance records. The services provided are administrative and technological in nature, intended solely to assist users in managing their own financial and employment-related affairs.
Native Teams does not provide employment, recruitment, staffing, or labour-intermediation services. Nothing in these terms of service (terms) shall be construed as creating an employment relationship, partnership, joint venture, or agency between Native Teams and the user.
The user remains fully responsible for their business activities, income, and contractual relationships with third parties. Native Teams acts exclusively as a digital service provider and administrative facilitator, offering access to the platform and related tools for professional self-management.
2. User registration and eligibility
To access and use the platform, you must create an account and provide accurate, complete, and current information. By registering, you confirm that you:
1. Are at least eighteen (18) years of age or have reached the age of legal majority in your jurisdiction;
2. Have the full legal capacity to enter into binding agreements; and
3. Will comply with all applicable tax, social security, and data protection obligations arising from your activities.
You are responsible for maintaining the confidentiality of your account credentials and for any activity conducted through your account.
3. Service balance and mandatory security reserve
3.1 Service balance
Each user must maintain a pre-funded balance within their platform account (the “service balance”). The service balance serves as the source of funds from which Native Teams are authorised to deduct:
- Platform subscription and administrative service fees;
- Third-party payments expressly authorised by the user, including taxes, contributions, or statutory obligations; and
- Any other amounts properly due under these terms.
Funds credited to the service balance remain the property of the user until applied for authorised purposes. Users may top up their service balance by bank transfer, card payment, or another accepted method.
Users must maintain sufficient funds in their service balance to cover ongoing and upcoming service-related obligations. Native Teams reserves the right to suspend or restrict access to the platform if the service balance becomes insufficient to meet expected charges.
3.2 Mandatory security reserve
In addition to maintaining a service balance, every user must maintain a security reserve at all times. The security reserve serves as a financial guarantee to ensure adequate coverage of:
- Final or pending service charges;
- Termination-related costs or compliance liabilities; and
- Any adjustments, reconciliations, or administrative expenses arising under these terms.
The minimum amount of the security reserve shall be equal to one (1) month of the user’s projected service value (or income equivalent) plus 20%, unless otherwise determined by Native Teams in writing.
The security reserve must be paid in full before the activation of the user’s account and must remain fully funded during the entire period of platform use.
If the security reserve balance falls below the required amount, the user must promptly replenish it. Native Teams may suspend or restrict access to the platform until the shortfall is corrected.
Upon termination of the user’s account, the security reserve will be reconciled against any outstanding obligations or costs. Any remaining balance will be refunded to the user within thirty (30) calendar days after final settlement.
The security reserve is not a deposit within the meaning of the Financial Services and Markets Act 2000, does not accrue interest, and is not protected under the Financial Services Compensation Scheme.
4. Authorisation to deduct fees and costs
By maintaining a service balance and security reserve, the user expressly authorises Native Teams and its affiliates to deduct from these funds:
- Platform usage and service fees;
- Approved third-party costs, taxes, and statutory contributions; and
- Any other amounts properly due under these Terms.
All deductions will be recorded and itemised in the user’s platform dashboard. The user may request an electronic statement at any time.
5. Refunds and account termination
The user may terminate their account by providing written notice to Native Teams. Upon termination, Native Teams will reconcile the user’s account by deducting all outstanding fees, costs, or liabilities.
After reconciliation, any unused portion of the service balance and any refundable part of the security reserve will be returned to the user within thirty (30) calendar days of final settlement. Refunds will be made to the verified bank account or payment method most recently used by the user.
Funds used to pay for services already rendered or authorised transactions prior to termination are non-refundable.
6. Relationship between the parties
The user acknowledges and agrees that Native Teams acts solely as a provider of administrative and digital services. Use of the platform does not create or imply any employment, partnership, or agency relationship between the user and Native Teams.
The user remains solely responsible for declaring and paying all taxes, contributions, and other obligations arising from their income and professional activities.
7. Suspension of services
Native Teams reserves the right to suspend or terminate the user’s account without prior notice if:
- The user fails to maintain the required service balance or security reserve;
- The user breaches these terms; or
- Native Teams reasonably suspect fraudulent, unlawful, or improper activity.
Suspension shall remain in effect until the issue has been resolved to the satisfaction of Native Teams.
8. Records, transparency, and reporting
Native Teams and its affiliates maintain detailed records of all transactions processed under these terms, including deposits, deductions, and refunds. Users will have continuous access to their transaction history through the platform. Records will be retained in accordance with applicable UK legal, accounting, and data protection requirements.
9. Amendments
Native Teams may amend these terms, including the level of the security reserve or applicable service fees, to reflect operational, legal, or regulatory changes.
Any amendments will be communicated to the user in advance through the platform or by email.
Continued use of the platform after the effective date of the amendments constitutes acceptance of the updated terms. If the user does not agree to the amended terms, they may terminate their account prior to the effective date of such changes.
10. Governing law and jurisdiction
These terms shall be governed by and construed in accordance with the laws of England and Wales. Any dispute, controversy, or claim arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to any statutory consumer rights the user may have under applicable law.
